By accessing or using the services provided by Hemplaill Solutions ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services. We reserve the right to modify these Terms at any time, and your continued use of our services constitutes acceptance of any changes.

2. Description of Services

Hemplaill Solutions provides AI automation and business consulting services, including but not limited to chatbot development, business process automation, CRM integration, and marketing analytics. The specific scope of services will be defined in individual service agreements or statements of work.

3. User Responsibilities

When using our services, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Comply with all applicable laws and regulations
• Not use our services for any unlawful or prohibited purposes
• Not interfere with or disrupt the integrity or performance of our services
• Not attempt to gain unauthorized access to our systems or networks

4. Intellectual Property Rights

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and documentation, are owned by Hemplaill Solutions or our licensors and are protected by intellectual property laws.

Upon full payment for services rendered, you will own the deliverables created specifically for you. However, we retain ownership of our proprietary methodologies, tools, templates, and any pre-existing intellectual property used in delivering our services.

5. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Fees are due as specified in the service agreement
• Late payments may incur additional charges
• All fees are non-refundable unless otherwise stated
• We reserve the right to suspend services for non-payment
• Prices are subject to change with 30 days' notice

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of our services and continues for a period of three years thereafter.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However:

• Our services are provided "as is" without warranties of any kind
• We do not guarantee specific results or outcomes
• We are not responsible for third-party services or integrations
• We do not warrant that our services will be uninterrupted or error-free

8. Limitation of Liability

To the maximum extent permitted by law, Hemplaill Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our services. Our total liability shall not exceed the amount paid by you for the services in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Hemplaill Solutions and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

10. Termination

Either party may terminate services with written notice as specified in the service agreement. Upon termination, you must pay for all services rendered up to the termination date. Provisions that by their nature should survive termination shall survive, including confidentiality, intellectual property rights, and limitation of liability.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
